Terms & Conditions
Welcome to Taxbos ("Company," "Taxbos," "we," "us," or "our"). These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client," "you," or "your"), and Taxbos Advisory Services regarding your access to and use of the Taxbos website, applications, client dashboards, and professional advisory offerings.
By purchasing services, engaging with our consultants, or accessing our platform, you acknowledge that you have read, understood, and agree to be bound by all of these Terms & Conditions.
1. Scope of Services & Professional Role
Taxbos operates as a legal-tech, compliance management, and corporate advisory platform connecting clients with qualified professionals, including Chartered Accountants (CAs), Company Secretaries (CSs), Trademark Attorneys, and Tax Specialists.
Our Service Offerings Include:
- Business Incorporation: Private Limited Companies, Limited Liability Partnerships (LLP), One Person Companies (OPC), Partnership Firms, and Section 8 entities.
- Statutory Registrations: Goods and Services Tax (GST), Import Export Code (IEC), MSME/Udyam, Shop & Establishment, and FSSAI licensing.
- Periodic Compliances: Annual MCA filings, DIR-3 KYC, GST Return filing (GSTR-1, GSTR-3B, GSTR-9), TDS filings, and Income Tax returns.
- Accounting & Bookkeeping: Cloud accounting, payroll reconciliation, and MIS preparation.
Disclaimer of Representation: While Taxbos coordinates and facilitates legal and accounting services through accredited professionals, visiting our website or communicating through web chat does not by itself establish an attorney-client relationship until a formal service agreement or invoice engagement has been initiated.
2. Client Obligations & Document Authenticity
To enable timely and accurate completion of statutory mandates, the Client agrees to:
- Provide True & Accurate Documents: Supply valid, genuine, and un-tampered KYC proofs, PAN numbers, registered office utility receipts, and board approvals.
- Timely Information Submission: Supply necessary vouchers, invoices, bank statements, or OTP verifications within the requested timeline. Taxbos shall not be held liable for statutory penalties resulting from client delays.
- DSC & Credential Security: Safeguard any one-time passwords (OTPs) and ensure that Digital Signature Certificates provided for filings are authorized by the valid holder.
- Lawful Business Activities: Ensure that the business entity for which incorporation or compliance is sought does not engage in illegal, deceptive, or prohibited trade under Indian legislation.
3. Professional Fees vs. Statutory Disbursements
Our fee structure distinguishes clearly between two distinct expense components:
Note: In the event of government fee revisions or additional stamp duties resulting from higher authorized capital or multi-state registrations, the Client shall be notified and billed accordingly before final form submission.
4. Statutory Deadlines & Government Portals
Taxbos is committed to executing filings with utmost diligence before scheduled due dates. However, the Client acknowledges that:
- Centralized government portals (such as MCA V3, GSTN, TRACES, and Income Tax e-Filing) are maintained by government agencies and may experience server downtimes, unannounced maintenance, or gateway timeouts.
- Taxbos is not liable for delayed filing charges or interest triggered by government portal outages or delays attributable to third-party bank transaction clearances.
- Clients who supply mandatory filing data fewer than 48 hours prior to a statutory deadline may be subject to expedited processing surcharges or risk late-filing fees imposed by regulatory authorities.
5. Intellectual Property Rights
Unless otherwise indicated, all website architecture, algorithms, interface layouts, software code, branding assets, blog articles, and calculators on Taxbos are proprietary property owned or licensed by Taxbos. You are granted a limited, revocable license to access our platform for standard business use. You may not scrape, reproduce, reverse engineer, or redistribute our platform assets without explicit written authorization.
6. Limitation of Liability
To the maximum extent permitted by applicable Indian laws:
- In no event shall Taxbos, its directors, partners, employees, or advisory affiliates be liable for indirect, incidental, punitive, or consequential damages (including loss of business profits or goodwill) arising out of the performance or non-performance of contracted services.
- The total cumulative liability of Taxbos for any claim arising out of these terms or our services shall not exceed the net professional fee actually received by Taxbos for the specific disputed engagement.
7. Confidentiality & Non-Disclosure
Both parties agree to treat all business information, financial figures, intellectual property, and trade secrets shared during the engagement as strictly confidential. Taxbos implements strict non-disclosure obligations across all employees and consulting associates.
8. Governing Law & Dispute Resolution
These Terms and Conditions shall be governed by and interpreted under the laws of the Republic of India:
- Jurisdiction: Any dispute, controversy, or claim arising out of this agreement shall be subject to the exclusive jurisdiction of the competent courts situated in New Delhi, India.
- Amicable Settlement: Prior to initiating formal litigation, the parties agree to seek amicable resolution through good-faith mutual negotiations for a minimum period of thirty (30) days.
